Terms of Service

These Terms of Service (the "Terms") govern your access to and use of Kodeoo (the "Service"), a content creation platform for real estate professionals. The Service is operated by AZURAVA (SASU), a company registered in France (SIREN 937 750 974), whose registered office is at 60 rue François Ier, 75008 Paris, France ("Kodeoo," "we," "us"). By creating an account or using the Service, you agree to these Terms. If you do not agree, do not use the Service.

1. The Service

Kodeoo helps real estate agents create and schedule social media content, including AI-assisted captions, reels scripts, listing posts, photo editing and a public agent page. Features available to you depend on your plan. We may update, add or remove features over time.

2. Accounts

You must provide accurate information and keep your login credentials secure. You are responsible for all activity under your account. You must be at least 18 years old and use the Service for your professional real estate activity.

3. Plans, billing and cancellation

• Free trial: some plans include a 7-day free trial. A payment method is collected at sign-up, but no charge is made before the trial ends. At the end of the trial, your subscription continues automatically at the current price and the first payment is taken on day 8, unless you cancel before the trial ends from your account.
• Early activation: you may choose to activate your subscription before the trial ends (the "Activate now" option). Doing so ends the free trial immediately and triggers the first payment right away. An explicit confirmation is requested before any charge.
• Paid plans are billed in advance on a recurring basis (monthly or yearly) through our payment processor, Stripe. Prices are shown before purchase and are exclusive of applicable taxes.
• Subscriptions renew automatically at the end of each billing period until you cancel. You can cancel at any time from your account; access continues until the end of the paid period.
• Except where required by law, payments are non-refundable, including for partial periods and unused credits.
• We may change prices for future billing periods with reasonable notice.

4. AI-generated content — your responsibility

The Service uses artificial intelligence to help generate text, captions, scripts and other content. AI output may be inaccurate, incomplete or outdated. You are solely responsible for reviewing, verifying and editing any content before publishing it, including all figures, statistics, prices, property details and claims. Kodeoo does not guarantee the accuracy of AI-generated content and is not responsible for content you choose to publish.

5. Fair Housing and real estate compliance

You are responsible for ensuring that all content you create, personalize or publish through the Service complies with applicable laws, including the federal Fair Housing Act and any state or local fair housing laws. You must not use the Service to create or distribute content that expresses, directly or indirectly, any preference, limitation or discrimination based on race, color, religion, national origin, sex, familial status, disability or any other protected characteristic. You are also responsible for complying with real estate advertising rules, MLS rules and any disclosure or licensing requirements that apply to you.

6. Your content and license

You retain ownership of the content, photos and information you upload. You grant Kodeoo a limited license to host, process and display that content for the sole purpose of operating the Service for you (for example, generating posts, rendering previews and, where you enable it, publishing to your connected social accounts). You represent that you have the rights to the content you upload and that it does not infringe third-party rights.

7. Third-party platforms

The Service can connect to third-party platforms such as Instagram and Facebook (Meta). Your use of those platforms is governed by their own terms and policies. We are not responsible for third-party platforms, and publishing or scheduling depends on their availability and rules.

8. Acceptable use

• Do not use the Service for unlawful, misleading or fraudulent purposes.
• Do not upload content that is illegal, infringing, defamatory or discriminatory.
• Do not attempt to disrupt, reverse engineer or gain unauthorized access to the Service.

9. Disclaimers

The Service is provided "as is" and "as available," without warranties of any kind, whether express or implied, including merchantability, fitness for a particular purpose and non-infringement. We do not warrant that the Service will be uninterrupted, error-free or that content will produce any particular business result.

10. Limitation of liability

To the maximum extent permitted by law, Kodeoo will not be liable for any indirect, incidental, special or consequential damages, or for lost profits or lost business, arising out of or related to your use of the Service. Our total liability for any claim will not exceed the amount you paid us in the twelve months before the event giving rise to the claim.

11. Termination

You may stop using the Service at any time. We may suspend or terminate your access if you breach these Terms or misuse the Service. Upon termination, your right to use the Service ends; sections that by their nature should survive will survive.

12. Changes to these Terms

We may update these Terms from time to time. If we make material changes, we will provide reasonable notice. Your continued use of the Service after changes take effect means you accept the updated Terms.

13. Governing law

These Terms are governed by the laws of France, without prejudice to any mandatory consumer protection rules that apply to you in your place of residence.
